AFFILIATE AGREEMENT

By agreeing to the terms of THIS AFFILIATE AGREEMENT an Agreement is made and entered into as of between AMD Lasers, Inc., a Utah corporation having its principal place of business located at 4628 Skyhawk Drive, West Jordan, UT 84084 (AMD), and the Affiliate agreeing to the following:

WHEREAS, AMD manufactures and sells dental equipment, products, and accessories; and

WHEREAS, Affiliate desires to promote AMD’s products in exchange for commissions on sales made through their referrals.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

TERMS AND CONDITIONS

  1. Affiliate Program: AMD offers Affiliates a commission of 10% on sales of any Picasso series laser and all other soft-tissue lasers and/or the Monet Laser Curing light made through their unique referral links or code. Additionally, Affiliates can offer their referrals a 35% discount on these products. - Note: The affiliate discount or commission is not extended to other products, accessories or tips.
  2. Enrollment: Affiliate agrees to these terms and will be approved by AMD to participate in the Affiliate Program. Upon approval, AMD will create a promotional landing page and unique URL for the Affiliate.
  3. Commission Structure: Affiliate will earn a commission of 10% on all sales of products made through their unique referral links. Commissions are calculated based on the net sales amount, excluding shipping, taxes, returns, and any discounts applied.
  4. Discount for Referrals: Affiliate’s referrals are eligible for a 35% discount off the MSRP Price of the product when purchased through the Affiliate’s unique referral link. The referral may not request, or apply, any other eligible discount then available for the Product.
  5. Payment of Commissions:
    • 5.1 Commissions will be paid out to the Affiliate within 30 days after the conclusion of a calendar month, for commissions earned during the month in question.
    • 5.2 Payments will be made via the payment method selected by the Affiliate during the registration process.
    • 5.3 AMD reserves the right to withhold commission payments if fraudulent activity is suspected.
  6. Marketing and Promotion: Affiliate agrees to actively promote AMD products through their marketing channels, including but not limited to social media, websites, blogs, and email campaigns.

  7. Term and Termination:
    • 7.1 This Agreement shall commence on the Effective Date and continue until terminated by either party.
    • 7.2 AMD may terminate this Agreement at any time, with or without cause, upon written notice to the Affiliate.
    • 7.3 Affiliate may terminate this Agreement at any time upon written notice to AMD.
    • 7.4 Upon termination, no further commissions will be earned on sales made after the termination date.
  8. Confidential Information: Affiliate shall keep confidential all information pertaining to this Agreement and the contents herein. Affiliate agrees not to disclose or transfer such information to any third party without the prior written consent of AMD.
  9. Governing Law and Venue: This Agreement shall be governed by the laws of the State of Utah. Any dispute arising under or in connection with this Agreement or related to any matter which is the subject of this Agreement shall be subject to the exclusive jurisdiction of the state courts located in Salt Lake City, Utah.
  10. Assignments: This Agreement may not be sold or transferred to any other party beyond those described herein. In the event that either party merges with any other entity, changes its name, or otherwise transforms into a new entity, this Agreement shall be deemed binding upon and enforceable against such new or other entity.
  11. Complete Agreement: The contents herein constitute the full and complete Agreement in this matter by and between the parties hereto.
  12. Headings: The headings in this Agreement are for the purpose of convenience only and shall not limit, enlarge or affect any of the covenants, terms, conditions or provisions of this Agreement.
  13. Counterparts: This Agreement may be executed in one or more counterparts, either through original copies or by facsimile or electronically transmitted copies, all of which taken together shall constitute one and the same Agreement.
